NVC360 Inc. — Terms & Conditions Last Updated: October 7, 2026 | Effective Date: March 1, 2026

By accessing or using the Platform, website, or any associated services, you agree to be bound by these Terms & Conditions. If you do not agree, do not use our services. If you are using NVC360 on behalf of a company or organization, you represent that you have the authority to bind that entity to these terms.

1. Definitions

In these Terms & Conditions:

  • “NVC360”, “we”, “us”, or “our” means NVC360 Inc., a company incorporated in Manitoba, Canada.
  • “Platform” means ArrivePing, NVC360’s field operations and client communication software, including all web-based tools, mobile applications, APIs, and associated services.
  • “Website” means nvc360.com and all associated subdomains.
  • “Services” means the Platform, Website, and any related support, onboarding, or professional services provided by NVC360.
  • “Client” or “you” means the business or individual who subscribes to or uses the Services.
  • “User” means any individual who accesses the Platform under a Client account, including employees, contractors, and field technicians.
  • “Content” means any data, text, files, information, or other materials uploaded to or generated within the Platform.
  • “Beta Access” means early access to the Platform provided prior to the general commercial launch of ArrivePing.
  • “Subscription” means a paid plan granting ongoing access to the Platform.
  • “Confidential Information” means non-public business, technical, financial, or operational information disclosed by one party to the other.

2. Acceptance of Terms

By registering for an account, requesting beta access, clicking “I Agree”, or otherwise using the Services, you confirm that:

  • You have read, understood, and agree to be bound by these Terms & Conditions and our Privacy Policy (nvc360.com/privacy)
  • You are at least 18 years of age and have the legal capacity to enter into a binding agreement
  • If acting on behalf of a company, you have the authority to bind that company to these terms
  • You will use the Services only for lawful business purposes and in compliance with all applicable laws

These Terms constitute the entire agreement between you and NVC360 regarding the Services and supersede all prior agreements, representations, and understandings.

3. Description of Services

Through ArrivePing, NVC360 provides a cloud-based field operations and client communication platform designed for businesses that deploy field technicians. The Services include:

Core Platform Features:

  • Real-time technician dispatch, job assignment, and scheduling
  • GPS-based live tracking of field technicians with client-facing tracking links
  • Automated client communication via SMS and email including arrival notifications, ETA updates, and job completion confirmations
  • Digital job management including work orders, checklists, and completion sign-offs
  • Operational dashboards and performance reporting for managers and dispatchers
  • Client portal for tracking service history and upcoming appointments

Mobile Applications:

  • iOS application for field technicians (available on the Apple App Store)
  • Android application for field technicians (available on Google Play)
  • Real-time task management, route navigation, and client communication tools for technicians in the field

Integration Capabilities:

  • API access for integration with third-party CRM, payroll, and accounting systems
  • NVC360 integrates alongside your existing software — it does not replace your CRM, payroll, or accounting platforms

NVC360 reserves the right to modify, update, add, or remove features of the Services at any time. For material changes that negatively impact your use of the platform, we will provide at least 30 days advance notice.

4. Beta Access

During the beta period prior to the commercial launch of ArrivePing:

  • Beta access may be provided free of charge or at a discounted rate at NVC360’s sole discretion
  • Beta features are provided “as is” and may contain bugs, errors, or incomplete functionality
  • NVC360 does not guarantee uptime, data persistence, or feature availability during the beta period
  • NVC360 may modify, suspend, or terminate beta access at any time with reasonable notice
  • By participating in beta, you agree to provide honest feedback to help us improve the platform
  • NVC360 will provide at least 30 days notice before transitioning beta users to a paid subscription plan
  • Beta participants who become paying clients may be eligible for founding client pricing as communicated separately

5. Account Registration and Security

To access the Services, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration and keep it updated
  • Choose a strong, unique password and maintain its confidentiality
  • Not share your account credentials with any unauthorized person
  • Notify NVC360 immediately at support@nvc360.com if you suspect unauthorized access to your account
  • Accept full responsibility for all activities that occur under your account, whether authorized by you or not
  • Ensure that all Users added to your account comply with these Terms

Account Types:

  • Admin accounts have full access to all platform features, settings, billing, and user management
  • Manager accounts have access to dispatch, scheduling, reporting, and team management
  • Technician accounts have access to the mobile application for assigned jobs and communication tools

NVC360 reserves the right to suspend or terminate any account that we reasonably believe has been compromised, is being used fraudulently, or is in violation of these Terms.

6. Acceptable Use Policy

You agree to use the Services only for lawful, legitimate business purposes. You must not use the Services to:

Prohibited Activities:

  • Violate any applicable federal, provincial, or municipal law or regulation in Canada or any other jurisdiction
  • Infringe upon the intellectual property rights, privacy rights, or other legal rights of any third party
  • Upload, transmit, or distribute any malware, viruses, ransomware, or other malicious code
  • Attempt to gain unauthorized access to any NVC360 system, network, database, or another client’s account
  • Use automated means including bots, scrapers, crawlers, or scripts to access the platform without NVC360’s prior written consent
  • Reverse engineer, decompile, disassemble, or attempt to extract the source code of the Platform
  • Resell, sublicense, or provide access to the Services to third parties without NVC360’s written authorization
  • Use the Services to send unsolicited commercial communications (spam) to clients, technicians, or any third party
  • Misrepresent your identity, your company, or your affiliation with any person or organization
  • Upload or process content that is unlawful, defamatory, discriminatory, or violates any person’s privacy
  • Use the platform to track, monitor, or communicate with individuals without their knowledge or consent where required by law
  • Interfere with or disrupt the integrity, performance, or security of the Platform or its infrastructure

Consequences of Violation: Violations of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund, at NVC360’s sole discretion. NVC360 reserves the right to report illegal activity to appropriate law enforcement authorities.

7. Subscription Plans and Billing

Subscription Plans: NVC360 offers subscription plans based on the number of field technicians, features required, and contract length. Current pricing is available at nvc360.com or upon request. All prices are in Canadian dollars (CAD) unless otherwise stated.

Billing Cycle:

  • Subscriptions are billed monthly or annually depending on the plan selected
  • Annual subscriptions are billed upfront for the full year and may be eligible for a discount
  • Your subscription automatically renews at the end of each billing cycle unless cancelled

Payment:

  • Payments are processed by Stripe using your credit card, debit card, or pre-authorized bank payment
  • By providing payment details, you authorize NVC360 to charge your payment method on a recurring basis
  • You are responsible for ensuring your payment details are accurate and up to date

Failed Payments:

  • If a payment fails, we will attempt to process it again within 3 business days
  • If payment remains outstanding after 10 business days, your account may be suspended
  • Access will be restored immediately upon successful payment

Price Changes:

  • NVC360 will provide at least 30 days written notice before increasing subscription pricing
  • Continued use of the Services after the effective date of a price change constitutes acceptance of the new pricing
  • Price changes do not apply to annual subscriptions until the renewal date

Taxes:

  • Prices listed do not include applicable taxes
  • GST/HST and any other applicable Canadian taxes will be added to your invoice at the applicable rate

8. Cancellation and Refund Policy

Cancellation by You:

  • You may cancel your subscription at any time by contacting support@nvc360.com or through your account settings
  • Cancellation takes effect at the end of the current billing period — you retain full access until that date
  • Monthly subscriptions: no refund for the current month upon cancellation
  • Annual subscriptions: no refund for the remaining months upon cancellation unless otherwise agreed in writing

Cancellation by NVC360:

  • NVC360 may terminate your subscription for cause (breach of these Terms) with immediate effect and without refund
  • NVC360 may terminate your subscription without cause with 30 days written notice, in which case a pro-rated refund will be issued for unused prepaid time

Data After Cancellation:

  • Your data will remain accessible in a read-only state for 30 days after cancellation
  • After 30 days, all data will be permanently deleted from our servers
  • You may request a data export within the 30-day window at no charge

9. Intellectual Property

NVC360 Ownership: The Platform, including all software, source code, algorithms, user interfaces, design elements, trademarks, logos, trade names, content, and documentation, is the exclusive intellectual property of NVC360 Inc. and is protected by Canadian and international intellectual property laws including the Copyright Act (Canada) and the Trade-marks Act (Canada).

License Grant to You: Subject to your compliance with these Terms and payment of applicable fees, NVC360 grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your internal business operations during the subscription term.

Restrictions: You may not, and may not permit others to:

  • Copy, modify, adapt, translate, or create derivative works of the platform or any part thereof
  • Distribute, sell, lease, sublicense, or otherwise transfer rights to the platform
  • Remove, alter, or obscure any proprietary notices, labels, or marks on the platform
  • Use NVC360’s trademarks, logos, or brand elements without prior written consent

Your Content: You retain full ownership of all data, content, and information you upload to the Platform (“Your Content”). By uploading Your Content, you grant NVC360 a limited, non-exclusive, royalty-free license to store, process, and use Your Content solely to provide the Services to you. NVC360 will not use Your Content for any other purpose including training AI models, marketing, or sharing with third parties.

Feedback: If you provide NVC360 with feedback, suggestions, or ideas about the platform, you grant NVC360 an unrestricted, perpetual, royalty-free license to use that feedback for any purpose, including improving the platform, without any obligation to compensate you.

10. Data, Privacy, and Security

Data Processing: NVC360 processes your data in accordance with our Privacy Policy (nvc360.com/privacy). As a Client, you are the data controller for any personal information belonging to your employees, contractors, or clients that you process through the Platform. NVC360 acts as a data processor on your behalf.

Your Responsibilities: You are responsible for:

  • Obtaining all necessary consents from your employees, field technicians, and clients before enrolling them in the Platform
  • Informing your field technicians that their location will be tracked while using the NVC360 mobile application during working hours
  • Informing your clients that their service appointments will be managed through the Platform and that they may receive automated communications
  • Complying with all applicable privacy laws including PIPEDA in your use of the Services

Location Tracking: The Platform uses GPS location data from field technician mobile devices to provide real-time tracking, routing, and client ETA features. You must obtain written consent from your field technicians for location tracking before activating this feature. Location tracking through the NVC360 app is active only while the app is open and in use during working hours.

Data Portability: Upon request and within 30 days of account termination, NVC360 will provide you with an export of your data in CSV or JSON format at no charge.

Security Responsibilities: You are responsible for maintaining the security of your account credentials and for the actions of all Users under your account. NVC360 is not liable for any loss or damage arising from your failure to maintain account security.

11. Uptime, Availability, and Support

Service Availability: NVC360 targets 99.5% monthly uptime for the core platform. Scheduled maintenance windows will be communicated at least 48 hours in advance. Unplanned outages will be communicated through our status page and by email to account administrators.

Support:

  • Beta clients: email support at support@nvc360.com with response within 1 business day
  • Paid clients: support tiers and response time SLAs as defined in your subscription plan
  • Critical issues affecting platform availability: priority response within 4 business hours

NVC360 does not guarantee that the Services will be uninterrupted, error-free, or completely secure at all times. Planned maintenance, third-party service outages, and force majeure events are excluded from uptime calculations.

12. Confidentiality

Each party agrees to:

  • Keep confidential all non-public information received from the other party that is designated as confidential or that reasonably should be understood to be confidential
  • Use confidential information only for the purposes of performing obligations or exercising rights under these Terms
  • Not disclose confidential information to any third party without prior written consent, except to employees or contractors who need to know it and are bound by equivalent confidentiality obligations

This obligation does not apply to information that:

  • Is or becomes publicly available through no breach of these Terms
  • Was rightfully in the receiving party’s possession before disclosure without restriction
  • Is independently developed by the receiving party without use of confidential information
  • Is required to be disclosed by law, court order, or regulatory authority — in which case the disclosing party will give prompt written notice where legally permitted

NVC360’s confidentiality obligations regarding your data survive termination of these Terms indefinitely.

13. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability or fitness for a particular purpose
  • Warranties that the Services will meet your specific business requirements
  • Warranties that the Services will be uninterrupted, timely, secure, or error-free
  • Warranties regarding the accuracy or reliability of any results obtained through the Services
  • Warranties that defects in the Services will be corrected

Some Canadian jurisdictions do not allow the exclusion of implied warranties in contracts with consumers. If you are a consumer, some of the above exclusions may not apply to you.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

NVC360 shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to:

  • Loss of profits or revenue
  • Loss of business opportunities or contracts
  • Loss of data or cost of data recovery
  • Loss of goodwill or reputation
  • Business interruption
  • Cost of substitute services

Whether arising from breach of contract, tort (including negligence), strict liability, or any other legal theory, even if NVC360 has been advised of the possibility of such damages.

Maximum Liability Cap: NVC360’s total cumulative liability to you for all claims arising out of or related to these Terms or the Services shall not exceed the greater of: (a) the total amount you paid to NVC360 in the 12 months immediately preceding the claim, or (b) CAD $500

This limitation applies to all claims in aggregate, not per incident.

Exceptions: This limitation of liability does not apply to:

  • Death or personal injury caused by NVC360’s gross negligence or wilful misconduct
  • Fraud or fraudulent misrepresentation by NVC360
  • Any liability that cannot be excluded or limited by applicable Canadian law

15. Indemnification

You agree to indemnify, defend, and hold harmless NVC360 Inc., its officers, directors, employees, contractors, agents, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Services in violation of these Terms
  • Your violation of any applicable law or regulation
  • Your infringement of any third-party intellectual property, privacy, or other rights
  • Content you upload to the Platform
  • Your failure to obtain required consents from your employees or clients
  • Any dispute between you and your employees, technicians, or clients arising from your use of the platform

16. Termination

Termination by You: You may terminate your account and these Terms at any time by providing written notice to support@nvc360.com. Termination is effective at the end of your current billing period. Prepaid fees are non-refundable unless otherwise agreed.

Termination by NVC360 for Cause: NVC360 may suspend or terminate your account immediately and without notice if:

  • You materially breach these Terms and fail to cure the breach within 10 days of written notice
  • You engage in conduct that NVC360 reasonably believes is fraudulent, illegal, or poses a security risk to the platform or other users
  • You fail to pay applicable fees and remain in arrears for more than 15 days

Termination by NVC360 Without Cause: NVC360 may terminate these Terms without cause by providing 30 days written notice. In this case, a pro-rated refund will be issued for any unused prepaid subscription time.

Effect of Termination: Upon termination:

  • Your right to access and use the Services ceases immediately (or at the end of the notice period for without-cause termination)
  • You must cease all use of NVC360 trademarks, logos, and branding
  • Each party must return or destroy the other party’s confidential information upon request
  • Your data will be available in read-only export format for 30 days, then permanently deleted

Survival: The following sections survive termination of these Terms: Section 9 (Intellectual Property), Section 12 (Confidentiality), Section 13 (Disclaimer of Warranties), Section 14 (Limitation of Liability), Section 15 (Indemnification), and Section 18 (Governing Law).

17. Force Majeure

NVC360 shall not be liable for any failure or delay in performance of its obligations under these Terms to the extent caused by circumstances beyond its reasonable control, including but not limited to: acts of God, natural disasters, pandemic, war, terrorism, civil unrest, actions of government authorities, internet or telecommunications failures, power outages, or third-party service provider failures.

NVC360 will notify you promptly of any force majeure event and will use commercially reasonable efforts to resume performance as soon as practicable.

18. Governing Law and Dispute Resolution

Governing Law: These Terms and Conditions are governed by and construed in accordance with the laws of the Province of Manitoba and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Informal Resolution: Before initiating any formal dispute process, both parties agree to attempt to resolve any dispute through good-faith negotiation. Either party may initiate this process by sending written notice to the other describing the dispute and proposed resolution. The parties will have 30 days to attempt informal resolution.

Arbitration: If informal resolution fails, any dispute arising out of or in connection with these Terms shall be finally resolved by binding arbitration conducted in Winnipeg, Manitoba, Canada, under the Arbitration Act (Manitoba). The arbitration shall be conducted in English by a single arbitrator. The arbitrator’s decision shall be final and binding.

Class Action Waiver: To the extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted on an individual basis only and not as a class, consolidated, or representative action.

Court Relief: Nothing in this section prevents either party from seeking emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration.

19. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy and any executed order forms or subscription agreements, constitute the entire agreement between you and NVC360 regarding the Services and supersede all prior agreements, representations, and understandings.

Amendments: NVC360 reserves the right to amend these Terms at any time. We will provide at least 30 days notice of material changes via email and a prominent notice on our website. Your continued use of the Services after the effective date constitutes acceptance. If you do not agree to the amended Terms, you must stop using the Services and cancel your account.

Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

Waiver: NVC360’s failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision unless acknowledged and agreed to by NVC360 in writing.

Assignment: You may not assign or transfer any of your rights or obligations under these Terms without NVC360’s prior written consent. NVC360 may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets, with notice to you.

Notices: All legal notices to NVC360 must be sent in writing to: NVC360 Inc., Attn: Legal, Winnipeg, Manitoba R3B 1B3, Canada, or by email to legal@nvc360.com. NVC360 will send notices to you at the email address associated with your account.

Language: These Terms are written in English. If translated into another language, the English version shall prevail in the event of any conflict.
